Terms and Conditions of Service

1. Definitions

"Agreement" means these Terms and Conditions together with any applicable Subscription Plan description, as updated from time to time.

"Stoodio" / "we" / "us" / "our" means STOODIO LTD, a company incorporated in England and Wales (Company No. 14071912), trading as Stoodio.

"Artist" / "you" / "your" means any individual or entity that registers for an Account on the Platform.

"Platform" means the Stoodio software-as-a-service platform, accessible via stoodio.io and any associated subdomains.

"Content" means any artwork images, text, metadata, biographical information, pricing data, exhibition history, and any other material uploaded to or generated through the Platform by the Artist.

"Art Sector Partners" means galleries, museums, auction houses, art fairs, collectors, advisors, art-technology platforms, and other professional operators active in the primary and secondary art markets.

2. Acceptance of Terms

By creating an Account, you confirm that you have read, understood, and agree to be bound by this Agreement. If you are registering on behalf of a legal entity, you represent and warrant that you have authority to bind that entity to this Agreement.

Stoodio reserves the right to update this Agreement at any time. We will notify you of material changes via email or a prominent notice within the Platform. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised terms.

3. Nature of the Platform and Service

Stoodio is a professional platform built exclusively for visual artists, with the purpose of helping them develop, promote, and sustain their artistic career. The service includes establishing a professional online presence, managing and showcasing the Artist's portfolio, enabling payments from collectors and buyers, generating data-driven insights, and connecting Artists with Art Sector Partners.

Stoodio will use commercially reasonable endeavours to make the Platform available 24 hours a day, 7 days a week, except for planned maintenance and events outside our reasonable control.

4. Artist Account

To use the Platform, you must complete the registration process. You agree to provide accurate, complete, and current information during registration and to keep that information up to date. You must be at least 18 years of age to create an Account.

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Each Artist may hold only one Account.

5. Subscription Plans and Fees

The Free Plan provides access to a defined subset of Platform features at no charge. The Pro Plan provides access to the full Platform feature set, including custom domain connection, unlimited artwork uploads, HD image support, video background, direct sales, advanced analytics, and priority support.

Subscription fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in this Agreement.

6. Artist Content

You retain full ownership of all Content you upload to the Platform. By uploading Content, you grant Stoodio a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute your Content solely for the purpose of providing the Platform services.

You are solely responsible for ensuring that your Content does not infringe any third-party intellectual property rights and complies with all applicable laws.

9A. Your Artwork and Data: What Stoodio Will Never Do

Stoodio will never use your artwork images, portfolio content, or any other creative work you upload to the Platform to train, fine-tune, or otherwise develop any artificial intelligence or machine learning model. Stoodio will never license, sell, or make available your artwork to any third party for AI training or dataset creation. Your work is yours.

10. Intellectual Property

All intellectual property rights in the Platform are and shall remain the exclusive property of STOODIO LTD or its licensors. The Stoodio name, logo, and all related marks are trademarks of STOODIO LTD.

11. Warranties and Disclaimers

The Platform is provided "as is" and "as available". To the fullest extent permitted by applicable law, Stoodio disclaims all warranties, express or implied.

12. Limitation of Liability

Stoodio's total aggregate liability shall not exceed the total fees paid by the Artist in the twelve months preceding the event giving rise to the claim. Nothing excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

14. Term and Termination

The Artist may terminate this Agreement at any time by deleting their Account via Settings. Stoodio may terminate or suspend the Artist's Account immediately without prior notice in cases of material breach or harm to Stoodio or third parties.
